1. Introduction & Acceptance of Terms
Welcome to Scooty XP. These Terms and Conditions ("Terms") govern your access to and use of the Scooty XP website, mobile applications (iOS and Android), and all related services and features provided by Scooty XP Technologies Limited ("Company," "we," "us," or "our").
By downloading, installing, accessing, or using the Scooty XP Platform in any way, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Platform.
We reserve the right to modify these Terms at any time. Changes become effective immediately upon posting to the Platform. Your continued use of the Platform after any modification constitutes your acceptance of the updated Terms.
2. Definitions
"Account" - Your personal user profile on the Scooty XP Platform.
"Customer" - Any individual who uses the Platform to place orders for goods or services.
"Vendor" - Any business, merchant, or service provider that partners with Scooty XP to sell goods or services through the Platform.
"Rider" - An independent delivery driver or logistics provider contracted to deliver items to customers.
"Service Provider" - A business offering home services (cleaning, repair, etc.) through the Platform.
"Order" - A confirmed request from a Customer to purchase goods or services through the Platform.
"Platform" - The Scooty XP website, mobile application, and all associated services.
3. Eligibility & Account Creation
3.1 Age Requirement: You must be at least 18 years of age to create an Account and use the Platform. By registering, you warrant that you are legally capable of entering into binding contracts.
3.2 Account Registration: You are responsible for providing accurate, complete, and current information during account registration. You agree to update your information as needed to maintain accuracy.
3.3 Account Responsibility: You are solely responsible for maintaining the confidentiality of your password and all activities under your Account. You agree to notify us immediately of any unauthorized access or use of your Account.
3.4 Account Suspension: We reserve the right to suspend or terminate your Account if we believe:
- You have provided false or misleading information
- You have violated these Terms or applicable laws
- You have engaged in fraudulent or abusive behavior
- Your account poses a risk to our operations or other users
4. Scooty XP's Role & Limitations
4.1 Technology Platform: Scooty XP is a technology platform that facilitates transactions between Customers, Vendors, and Riders. We do not own, control, or provide the goods and services listed on the Platform.
4.2 Not a Transportation Provider: We do not directly operate or provide delivery services. Riders are independent contractors, not Scooty XP employees.
4.3 Not a Seller: We do not sell goods or services. Vendors are responsible for the quality, safety, and legality of their offerings.
4.4 No Warranty on Third-Party Services: Scooty XP makes no warranties regarding the quality, safety, or legality of goods/services offered by Vendors or the reliability of Riders. We facilitate connections but do not guarantee outcomes.
4.5 Limited Liability: While we work to ensure service quality, we are not liable for Vendor mistakes, Rider delays, lost items, or service failures beyond our direct operational control.
5. Customer Obligations & Conduct
5.1 Lawful Use: You agree to use the Platform only for lawful purposes and in compliance with all applicable laws in Nigeria and your jurisdiction.
5.2 Prohibited Conduct: You may not:
- Order illegal items or items that violate local laws
- Provide false delivery addresses or mislead Riders
- Harass, abuse, or threaten Vendors, Riders, or Scooty XP staff
- Attempt to manipulate the app (hacking, reverse engineering, bots)
- Create multiple accounts to bypass promotions or limits
- Engage in fraudulent payment practices
- Post false reviews or ratings
- Share explicit, hate, or harmful content in chats or reviews
5.3 Consequences of Violation: Violations may result in Account suspension, legal action, and forfeiture of any credits or loyalty points.
6. Pricing, Payments & Fees
6.1 Pricing Accuracy: We aim to display accurate prices, but errors may occur. If an item's price is significantly lower than expected due to system error, we reserve the right to cancel the Order and notify you.
6.2 Payment Acceptance: We accept payments via:
- Debit/Credit cards (Visa, Mastercard)
- Bank transfers
- USSD banking
- Mobile money services
- Scooty XP Wallet (prepaid balance)
6.3 Payment Processing: Payments are processed securely through third-party payment gateways (Paystack, Flutterwave). By providing payment information, you authorize these processors to charge your account for the Order total.
6.4 Order Total: The Order total includes:
- Item price (set by Vendor)
- Delivery fee (calculated based on distance and order size)
- Any applicable taxes or levies
- Any promotional discounts (automatically applied)
6.5 Currency: All prices are displayed in Nigerian Naira (₦). We do not accept payments in other currencies.
6.6 No Refunds for Changed Mind: Once an Order is confirmed and Vendor/Rider have been notified, cancellations may incur fees or be ineligible for refunds at Vendor's discretion.
7. Order Placement & Delivery
7.1 Order Confirmation: When you place an Order, you are making an offer to purchase from the Vendor. The Vendor accepts or rejects your offer. Only after Vendor acceptance is the Order confirmed.
7.2 Delivery Address Accuracy: You are responsible for providing a complete and accurate delivery address. Incorrect addresses may result in failed deliveries, and we are not responsible for loss in such cases.
7.3 Delivery Timeline: Estimated delivery times are approximations only, not guarantees. Delays may occur due to traffic, weather, Vendor preparation time, or other factors beyond Scooty XP's control.
7.4 Contactability: You must keep your phone number active and answer calls/messages from Riders. Failure to respond may result in order cancellation.
7.5 Recipient Presence: For food and time-sensitive items, the recipient should be present at delivery time. Scooty XP is not responsible for items left unattended if Rider cannot reach recipient.
7.6 Item Condition Upon Delivery: You should inspect items immediately upon delivery. Report any damage, missing items, or discrepancies to us within 24 hours with photo evidence.
8. Refunds & Disputes
8.1 Eligible Refund Cases:
- Vendor failed to deliver the Order (after 2-hour wait period)
- Items arrived damaged or spoiled
- Missing items from the confirmed Order
- Wrong items received
- Payment processed twice for the same Order
- Vendor cancellation after payment (through no fault of Customer)
8.2 Refund Process: To request a refund:
- Contact support within 24 hours of delivery
- Provide order details and photo evidence (if applicable)
- Our team will review and investigate
- If approved, refund is credited to your original payment method within 5-7 business days
8.3 Non-Refundable Cases: We do not issue refunds for:
- Change of mind or Customer preference
- Items ordered but not picked up
- Long delivery times (unless explicitly promised otherwise)
- Food items that were fresh upon delivery but spoiled due to improper storage by Customer
8.4 Dispute Resolution: If we cannot resolve a dispute through support, you may escalate to our disputes team with detailed documentation. Final resolution will be provided within 14 days.
9. Vendor & Rider Terms
9.1 Vendor Registration: Vendors must provide valid business documentation, tax identification (if applicable), and accurate bank details for payouts.
9.2 Commission Structure: Vendors agree to pay a commission of 9.1% per confirmed Order. This is Scooty XP's service fee for access to the platform, customer reach, and order processing.
9.3 Responsibility for Goods: Vendors are solely responsible for the quality, safety, legality, and accuracy of items sold. Scooty XP is not liable for any harm caused by Vendor's products.
9.4 Pricing Control: Vendors set their own prices and agree not to undercut their own business by using prices significantly lower than their physical stores.
9.5 Rider Classification: Riders are independent contractors, not Scooty XP employees. Scooty XP provides the platform and technology; Riders provide their own vehicle, insurance, and comply with traffic laws.
9.6 Rider Income & Payments: Rider earnings are based on distance, complexity, and volume. Payments are processed on a weekly or daily schedule. Scooty XP does not guarantee minimum daily earnings.
10. Limitation of Liability
10.1 Disclaimer of Warranties: THE PLATFORM IS PROVIDED "AS-IS" AND "AS-AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
10.2 Limited Liability: To the maximum extent permitted by law, Scooty XP shall not be liable for:
- Direct, indirect, incidental, special, consequential, or punitive damages
- Lost profits, data, or business opportunities
- Third-party claims (Vendor quality issues, Rider negligence, etc.)
- Service interruptions, downtime, or technical errors
- Loss or damage to items during delivery
- Any other damages arising from use or inability to use the Platform
10.3 Maximum Liability Cap: In any case, Scooty XP's total liability shall not exceed the amount you paid for the specific Order in question.
11. Intellectual Property
11.1 Platform Ownership: All content, design, code, trademarks, logos, and features of the Scooty XP Platform are owned by or licensed to Scooty XP and protected by copyright, trademark, and other intellectual property laws.
11.2 Limited License: We grant you a non-exclusive, non-transferable, revocable license to access and use the Platform solely for your personal, non-commercial purposes.
11.3 Prohibited Use: You may not copy, reproduce, distribute, modify, translate, or create derivative works of the Platform or its content without express written permission from Scooty XP.
11.4 User Content: Any reviews, photos, or comments you submit become property of Scooty XP and can be used for promotional or improvement purposes.
12. Indemnification
You agree to indemnify, defend, and hold harmless Scooty XP, its officers, directors, employees, and partners from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your violation of these Terms
- Your use of the Platform
- Your Orders or transactions
- Your violation of any law or third-party rights
- Any content or information you provide
13. Data Privacy & Security
13.1 Your personal data is protected according to our Privacy Policy. By using the Platform, you consent to our data collection and processing practices as outlined in the Privacy Policy.
13.2 Scooty XP uses industry-standard encryption and security measures to protect your information. However, no method is 100% secure, and we cannot guarantee absolute security.
13.3 You are responsible for keeping your login credentials confidential. Do not share your password with anyone.
14. Termination of Service
14.1 Account Termination: We may terminate or suspend your Account at any time, with or without cause, by providing 30 days' notice or immediately if you violate these Terms.
14.2 Effect of Termination: Upon termination, you lose access to your Account and all associated data. Unused loyalty points may be forfeited.
14.3 Surviving Provisions: Sections regarding limitation of liability, indemnification, and dispute resolution survive termination.
15. Dispute Resolution & Governing Law
15.1 Governing Law: These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.
15.2 Jurisdiction: Any legal action or proceeding arising from these Terms shall be brought exclusively in the courts located in Lagos, Nigeria.
15.3 Informal Resolution: Before pursuing formal legal action, both parties agree to attempt informal resolution through good-faith negotiation.

16. Prohibited Activities
You agree not to:
- Order items intended for resale without explicit permission
- Attempt to interfere with Scooty XP's operations or systems

- Engage in price manipulation or collusion with other users
- Upload viruses, malware, or harmful code
- Spam or send unsolicited messages to other users
17. Third-Party Links & Content
17.1 The Platform may contain links to third-party websites or services. Scooty XP is not responsible for the content, accuracy, or practices of third parties.
17.2 We do not endorse any third-party content or services linked from the Platform.
17.3 Your use of third-party services is governed by their own terms and privacy policies.
